MT. SINAI YOUTH HOCKEY CLUB

By-Laws

 

Article I - ORGANIZATION

 

Section 1: Name

The name of this organization shall be the Mt. Sinai Youth Hockey Club.

 

Section 2: Address

The address of the organization shall be at a place selected by the governing board.

 

Section 3: Registered Agent

The President shall determine the registered agent/s.

 

Section 4: Non-profit status

This organization is a State of New York non-profit organization, is structured upon a non-stock membership basis, not involving pecuniary gain or profit for any of its members, for a term of perpetual existence. 

 

Section 5: Exempt Status

This organization shall be operated exclusively under the provisions of Section 501 (c) (4) of the Internal Revenue Code of 1954, as amended and as may be amended in the future.

 

Section 6: Use of Funds

All funds and property of this organization shall be used and distributed exclusively for carrying out the purposes of the organization as set forth in Article II

 

Section 7: Fiscal Year

The fiscal year of the organization shall begin June 1st and end on May 31st of the following year.

 

Section 8: Power to Borrow Money

The organization may borrow money, and issue a promissory note or bond for repayment with interest, at the recommendation of the President and approval of two-thirds of the Board of Governors.

 

Section 9: Financial Statements

The Treasurer shall, at least once each year, or at the request of the board, prepare a true statement of the assets and liabilities of the organization for the preceding year.  The statement shall be available to any member upon their request.

 

Section 10: Dissolution

In the event of liquidation or dissolution of this association, or in the event that it shall cease to carry out any of its purposes, all funds and property of the organization shall be distributed to non-profit organizations with purposes similar to those set forth in Article II and which are exempt organizations as set forth in section 4 of this Article I, that the Directors of this organization may select, and in no event shall any of the funds or property be distributed to any of the members or used for any other purpose.

 

 

Article II - PURPOSE

 

The Mt. Sinai Youth Hockey Club is a non-profit organization operating youth ice hockey programs primarily in the school districts of Mt. Sinai, Miller Place and Rocky Point for the benefit of those residing there.  The purposes of the organization are as follows:

 

1.            To develop character, sportsmanship, physical fitness, and hockey skills among the youth in grades 7 through 12.

2.            To promote, encourage, and improve the standard of competitive amateur interscholastic ice hockey.

3.            To associate with other ice hockey programs and organizations and compete in tournaments and local scholastic league play on freshman, junior varsity, and varsity levels.

4.            To conduct an amateur hockey program consistent with the rules, regulations and philosophy of the Suffolk County High School Ice Hockey League, New York State Amateur Hockey Association, and USA Hockey as well as other bodies having jurisdiction.

5.            To perform or participate in other activities that will aid in reaching these objectives.

 

 

Article III MEMBERSHIP

 

Section 1: Active Member

An active member is (1) a parent, step-parent, guardian, or other person who pays at least one dollar toward the fee of any child participating in the youth hockey programs operated by the Mt. Sinai Youth Hockey Club, or (2) any other interested person who pays a membership fee of ten dollars.  The term of membership is the fiscal year of the association.  Funds contributed to Mt. Sinai Youth Hockey Club as part of a fund raising activity do not entitle the contributor to the benefits of membership.

 

Section 2: Expulsion

An active member may be expelled, after due notice and opportunity for a hearing, for conduct detrimental to the organization, by the vote of two thirds of the board of governors.  The secretary shall provide at least ten days notice to the person to be expelled and to the members of the board prior to the regular or special meeting at which the matter is to be resolved.  The person shall be offered an opportunity to be heard at that meeting and to present others to testify, prior to any final disposition by the board.  Reasons for expulsion include but are not limited to failure to meet financial responsibilities, failure to meet participatory responsibilities, failure to comply with USA hockey, Suffolk County High School Hockey League and organization regulations, and codes of ethics.  Members shall not expect to receive refunds of dues or participatory fees pro-rated or otherwise in case of injury or any other reason.

 

Section 3: Voting Rights

Each active member of at least 18 years in age shall be entitled to one vote in the election of advisory members to the board of governors.

 

Section 4: Right to Hold Office

Each member of at least 18 years in age shall be entitled to hold a position on the board of governors if they reside in the school district of Mt. Sinai, Miller Place or Rocky Point.  Advisory members must be a parent, step-parent, or guardian of a current player on a Mt. Sinai Youth Hockey Club team.

 

Section 5: Referenda

Upon the request, in writing, of one quarter of the membership, or upon its own initiative, the board of governors shall submit any question to the active members for a mail referendum vote.

 

Section 6: Activities Fund

Any person, association, partnership, corporation, or estate may establish or participate in an activities fund administered by the board of governors or its designate, to further the purposes of the organization.  Participation in such a fund shall carry with it no voting rights or other privileges of membership.

 

Section 7: Annual Meeting

The annual meeting of the active members shall be held each June, at a place and time determined by the board of governors.     

 

Section 8: Notice and Quorum

At least fifteen days prior to the annual meeting, written notice of the time and place shall be mailed to the address of each active member entitled to vote at the meeting, and posted in locations frequented by members.  The notice shall include the text of any amendments to the By-Laws, which will be presented for approval at that meeting.  The active members present at the annual meeting shall constitute a quorum.

 

Section 9: Order of Business

The order of business at the annual meeting, unless amended by majority vote of those present, shall be as follows:

            1.  Call to Order

2.  Minutes of the Last Meeting

3.  Treasurers Report

4.  General Managers Report

5.  Committee Reports

6.  Election of Board Members

7.  Other Business

8.  Adjournment

 

 

Article IV GOVERNING BOARD

 

Section1: Structure and Purpose

A Board of Governors having members not to exceed seven in number shall manage the property and affairs of Mt. Sinai Youth Hockey Club.  The Governing Board shall be made up of appointed Executive Officers and elected Advisory Members.  They shall by their majority vote, render all decisions on matters brought before them or originated by them on any and all matters concerning the best interest of the organization.  Each member of the Governing Board shall have one vote.

 

Section 2: Executive Officers

The Executive officers shall include a President, Secretary, and Treasurer, each of which may be registered agents, able to conduct the financial business of the organization.  When an executive position is vacant due to resignation or expulsion, the remaining officers shall select an appointment.  If the officers are unable to agree on an appointment, the entire Governing board shall select a member at the next regular Board of Governors meeting.  An officer shall be a member in good standing with the organization.

 

Section 3: Advisory Members

The Advisory Members shall include up to four members in good standing with the organization.  They shall be appointed at the second regular quarterly board meeting, and shall serve as members of the Governing Board for one year.  Advisory members shall be a parent, step-parent, or guardian of a child currently participating in a Mt. Sinai Youth Hockey Club program. At least one Advisory Member should represent each of the major school districts included.  When an Advisory Member position becomes vacant due to resignation or expulsion, the Board of Governors may select a member to serve the remainder of the term. 

 

Section 4: Board of Governors Duties

Duties of the Board shall include:

            1.  To fill any vacancies in the board.

            2.  To manage the business, properties, and affairs of the organization.

3.  To formulate the policies and determine the overall conduct and standards of the hockey programs, which shall be administered by the officers.

4.  To establish a budget and set fees for the hockey programs.    

5.  To study for approval proposals to amend or revise the organization’s By-Laws, Rules, or Regulations.

6.  To review and act upon any temporary decision by the President.

7.  To hear and rule on appeals.

8.  To review and act upon any violation of organization Rules, Regulations, By-Laws, Policies, or Codes of Conduct.

 

Section 5:  Regular Meetings

Regular meetings of the Board of Governors shall be held at least quarterly, at a time and place to be determined by the President.  The Secretary shall notify all Board Members of the date, time, and place of each meeting.

 

Section 6:  Special Meetings

The President or at least three members of the Board, may call special meetings of the Board of Governors.  The Secretary shall notify all Board Members of the date, time, and place of the meeting at least five days in advance.

 

Section 7:  Quorum

At least two members of the Executive Board must be present to constitute a quorum at any regular or special meeting.

 

Section 8:  Order of Business

The order of business for meetings of the board of governors shall be as follows:

            1.  Roll call of the Board

            2.  Minutes of the previous meeting

            3.  Treasurer’s Report

            4.  Presidents Report

            5.  Committee Reports

            6.  Old Business

            7.  New Business

            8.  Adjournment

 

Section 9:  Procedure

All meetings shall be governed by rules of parliamentary procedure.  Roberts Rules of Order shall govern questions of procedure.

 

Section 10:  Limited Liability

No governor shall be liable in any manner for any debts or obligations of the organization and shall not be subject to any manner of assessment by virtue of his membership.

 

Section 11:  Resignation

Any member of the Board of Governors may resign and/or withdraw from membership in the organization at any time, upon written notice of his desire to do so delivered to the President or Secretary of the organization.

 

Section 12:  Expulsion

Any member of the Board of Governors shall be subject to removal upon missing three Board Meetings within a fiscal year, or for failure to discharge the normal duties of a Board Member, or for conduct detrimental to the organization, after due notice and opportunity for a hearing, by a vote of two thirds of the Board of Governors at any regular or special meeting.  The Secretary shall provide at least ten days notice to the person to be expelled and to the members of the Board prior to the regular or special meeting at which the matter is to be resolved.  The person shall be offered an opportunity to be heard at this meeting, prior to any final disposition by the Board.

 

 

Article V  OFFICERS and ADVISORS

 

Section 1: President

The duties of the President shall include but not be limited to:

1.  To preside at all regular or special meetings of the membership or the Board.

2.  To call special meetings of the organization or the Board.

3.  To make decisions on questions not provided for in the By-Laws or rules until the next regular or special meeting of the Board.

4.  To act as general manager and represent or designate suitable representation for this organization and other hockey related events.

5.  To obtain sufficient ice time for all programs and levels.

6.  To select coaches for the association teams.

 

Section 2:  Secretary

The duties of the Secretary shall include but not be limited to the following:

            1.  To assume the duties and powers of the President in his absence.

2.  To record the attendance and Minutes of all regular or special meetings of the Board or membership.

3.  To receive and register all memberships of the organization.

4.  To notify the board and membership of the time, date, and location of meetings.

5.  To provide an Annual Report of the affairs of the organization, to be presented at the Annual Meeting.

6.  To advise the Board on a regular basis regarding unexcused absences of the members of the Board.

7.  To perform such other duties as may be assigned by the President.

8.  To supervise the registration of teams, coaches, and players with USA Hockey, New York State Hockey Association, Suffolk County High School Hockey League, and other related regulators.

 

Section 3:  Treasurer

The duties of the Treasurer shall include but not be limited to the following:

1.  To receive all funds due the organization and deposit them into a charter bank or banks.  The Treasurer shall furnish a security bond as the Board shall deem necessary, the cost of which shall be paid by the organization.

2.  To pay the rightful obligations of the organization as approved by the Board of Governors.

3.  To provide a regular monthly quarterly report and an Annual Report as to the financial condition of the organization.

4.  To prepare and file any financial reports that may be required by local, state, or federal regulations.

5.  To keep and maintain ledgers and other books of account, which may be audited at the request of the Board of Governors.

6.  To perform such other duties as may be assigned by the President.

 

Section 4:  Advisor

The duties of the Advisor shall include but not be limited to the following:

1.  Assists in the selection of the teams that will participate in the league during the coming season and the schools to be represented.

2.  Assists in the selection of coaches for specific teams.

3.  Assists in the decision to draft unassigned players and to re-assign district players elsewhere.

4.  Assists in the decisions for which ice times to acquire and at what locations.

5.  Assists in the establishment and review of budgets and fees for the organization.

6.  Assists in fundraising and the planning of award and social events.

7.  Provides input from team members and interested parties.

8.  Assists in recruitment of players in respective districts.

9.  To perform such other duties as may be assigned by the President.

 

 

Article VI   COMMITTEES

 

Section 1:  Purpose

The President, or a majority vote of the Board, may establish a committee for any specific purpose as deemed necessary.  Committees may be formed for such purposes as fundraising, rule review, equipment review, recruitment, and other beneficial purpose.

 

Section 2:  Activities

The chairperson may be any active member of the Board, and members may be any active members of the organization.  The committee may meet as required for its purposes.  The chairperson shall report on its membership and activities at regular meetings of the Board.  The committee shall terminate at the completion of its assignment.

 

 

Article VII   AMENDMENTS TO THE BYLAWS

 

Section 1:  Board of Governors

The Board of Governors may amend these By-Laws by presenting the amendment at a regular or special meeting and voting on the amendment at a subsequent regular or special meeting.  The approval of two thirds of the Board Membership is required to pass the amendment.

 

Section 2:  Annual Meeting

These By-Laws may be amended at an Annual Meeting by including the amendment in the notice of the Annual Meeting and having the members vote on the amendment by secret ballot at the Annual Meeting.  The approval of two thirds of the votes cast is required to pass the amendment.
